Terms of Services Epic Stock Media

For Products Provided by Epic Stock Media – Single Files, Sound Libraries, Cloud Vault Download Credits

This End User License Agreement (hereinafter “EULA”) is a legal agreement between the Licensee (an individual person, hereinafter “You” or “Your” or “Epic Stock Media Customer”) and Epic Stock Media (hereinafter “ESM”) for the copyrighted software, media files, digital assets, music, audio, video, designed sound effects, source sound files, libraries, collections, and any printed, online or electronic documentation and related content (hereinafter the “Content”) You have licensed. The specific Content which You are licensing is listed on Your purchase receipt.
Content has been licensed to You by ESM and not sold to You. Your use of the Content is limited by this EULA and international copyright laws.

ACCEPTANCE
You accept and agree to be bound by the terms of this agreement by downloading, purchasing, installing, licensing, or otherwise using the Content. If you do not agree with the terms of this EULA, do not use the Content. The Content is protected by international copyright laws and treaties as well as laws and treaties related to other forms of intellectual property. Your license to download and use the Content is subject to these rights and is non-transferable and can only be validated by proof of purchase. Rights not expressly granted to You hereunder are reserved by ESM.

1. LICENSE

1.1 Synchronization and Use in your Products, Productions, Performances
ESM has granted You commercial and non-commercial use of the Content when it is used in combination with Your music, audio, video, film, motion graphics, post-production, theatrical performance, mobile apps, video games, podcasts, broadcasts, performances, or productions. You are permitted to use the Content as a soundtrack “synced” with visuals (film, video games, movies, TV) or time (mixed in audiobooks, podcasts, music tracks) as part of Your media-related products and/or productions.
You may distribute and/or publicly perform reproductions of the Content only where the Content is incorporated in and/or synchronized with other media production elements, performances, or finished goods. Your use of the Content must include additional media elements; sounds, music, voice, images, video, motion graphics, animations, gameplay, etc.

1.2 Royalty Free, No Attribution
The Content You licensed may be combined or synchronized for the purposes of commercial recordings, productions, and performances without any additional license fees (royalties) becoming necessary or by providing source attribution for ESM. You are permitted to re-record or synchronize the Content as described in this EULA and distribute Your product, productions, and performances in whatever medium you choose (e.g., videotape, film, CD ROM, DVD, streaming, digital formats).

1.3 Single User License, Non-transferable
In consideration of the license fee You paid and subject to the terms of this EULA, ESM grants to You (a single user, person) a limited, non-exclusive, non-transferable, perpetual, royalty-free license, to use Content only in accordance with this EULA. The license herein granted shall not be copied, shared, distributed, resold, offered for resale, transferred, or sub-licensed in whole or in part by You.

Important Note About ESM EULAs
For flexibility and to provide for the varied needs of our customers, ESM provides a range of different EULAs. The rights granted in each EULA are not transferable and/or do not in any way extend to Content provided under a different EULA.
For example, if an ESM SFX Cloud Vault Free Account Subscriber purchases a sound library and has also downloaded free content via their SFX Cloud Vault Free Account Subscription, the EULA for the purchased sound library does not extend to the free content and the EULA covering the content in the Free Account does not apply to the purchased sound library. EULAs and their particular terms and conditions are coupled to the product and/or service being provided by ESM.

1.4 Single-User, Multi-User and Teams Licenses

1.4.1 Single-User License – This End User License Agreement (EULA) grants the use of the Content to You, a single-user/Licensee. A Licensee is not permitted to allow any unlicensed persons/individuals to access the Content through file-sharing systems, file storage, computer APIs or any other means. You agree to take reasonable, usual and customary precautions to prevent unauthorized access to the Content. Important, a “Licensed User” is a single user, person, named person. A Licensed User is not a workstation or device, a site license, a generic or shared login identity, a computer script, robot or API or any other non-person way to access the Content.

1.4.2 Multi-User License – Use of the content by more than one user is only allowed if you obtain a Multi-user license that designates the total number of users permitted to access and use the Content. When a Multi-user License is purchased from ESM the number of licensed users that can access and use the content will be specified on your purchase receipt/contract.
A Multi-user License is required when more than one user/person can access and use the Content. For example: If you have a team of sound designers, or more than one person that can access and use the Content to build a project, you will need a Multi-user License. Similarly, sharing the content by way of a file server that can be accessed by more than one user/person is only permitted with a Multi-user License. In this scenario, the number of users required to be covered by the Multi-user License is the number of users/persons that can access the Content on the file server.
Please note: Multi-user Licensee agrees to take reasonable, usual and customary precautions to prevent unauthorized access to the Content. Reminder, a “Licensed User” is a single user, person, named person. A Licensed User is not a workstation or device, a site license, a generic or shared login identity, a computer script, robot or API or any other non-person way to access the Content.

1.4.3 Teams License – A Teams License is a Multi-user license that is facilitated by the ESM Cloud Vault Team Management feature. Teams Licensing is only available to SFX Cloud Vault Teams Subscribers or ESM Master Vault multi-user customers.
The Team Management feature allows for one primary account holder, the “Team Manager” role to manage access to the content and quotas of team members designated by the Team Manager. All members of the team are covered by this EULA. The number of team member users will be specified on your purchase receipt/contract agreement. Please refer to The Master Vault Terms of Service or the ESM SFX Cloud Vault Terms of Service for more details and limitations governing multi-user licensing of the Content using the Team Management feature.

1.5 Installation and Back-up
You may install and use the Content as a single user. You may make one copy for archival (backup) purposes only. Access to the Content through a file-sharing server/system is only permitted in accordance with this EULA and a corresponding Multi-user License. Multi-user Licensees that share content via a file server may make one copy of the content for archival (backup) purposes only. Because SFX Cloud Vault is a service that provides access, backup and storage of the Content, SFX Cloud Vault subscribers, and SFX Cloud Vault for Teams subscribers are not permitted to make any copies for archival (backup) purposes.

2. LIMITATIONS & USE RESTRICTIONS

2.1 Use Must be Synchronized – You are not permitted to distribute or create reproductions of the Content where they are not incorporated in and/or not synchronized with other media production elements, performances, or content.

2.2 Not for Use in Media Content Management Systems or Content Creation Products or Apps – You are not permitted to use, include or embed the Content in whole or in part in products, productions, or applications for ringtones, sound or music creation software or hardware, media authoring, content creation tools/software/apps, or music or audio performance hardware/devices/instruments. If you would like to include Content in a mobile or web app where your end users can control playback of the sound (e.g., soundboard, nature app, ringtones, etc.), you will need to obtain a Custom Application License (CAL) from ESM.

2.3 Not for Use in Hardware, Toys, Non-media Physical Goods or Consumer Electronics – You are not permitted to use, include or embed the Content in whole or in part in computer hardware products, toys, non-media physical goods or consumer electronics and the like. Contact us at info@epicstockmedia.com for more detailed information about licensing Content for consumer electronics, physical goods, appliances, toys, to suit your specific application.

2.4 You May Not Redistribute or Resell Like Products – You are not permitted to resell, redistribute, or share the Content as a standalone product in whole or in part.
You are prohibited from adapting, modifying, reformatting, or repackaging the Content for resale or distribution as a like product. Without obtaining express written consent from ESM, You may not redistribute through any means, including but not limited to trading, sharing, resampling, mixing, processing, isolating, or embedding into software or hardware of any kind, for the purpose of inclusion of the Content as part of any free or commercial library of musical and/or sound effect samples and/or articulations, and/or like Content or any form of music, sample or sound effect playback system or device.
You may not include the Content in any media library (e.g., sample instrument, sound effects library, preset sounds, collection of like media Content, etc.) online or offline without our express written consent and or ESM Custom License Agreement. 2.5 Artificial Intelligence (AI) and Machine Learning Restrictions – The Content licensed under this Agreement shall not be used for training, developing, or enhancing any artificial intelligence (AI) or machine learning models, algorithms, or systems without the express written consent of Epic Stock Media (ESM). This includes, but is not limited to:
• Training AI models on the Content for any purpose, including speech synthesis, music generation, sound effects automation, or sound design.
• Using the Content as input for generative AI models designed to create derivative works, simulate audio environments, or generate any form of AI-assisted media content.
• Embedding or incorporating the Content, in whole or in part, into AI-driven applications, tools, or platforms intended for public or commercial use without written permission from ESM.
Any unauthorized use of the Content for AI-related purposes will constitute a material breach of the Epic Stock Media End User License Agreements and may result in the immediate termination of this License.
AI Usage Notice: Our End User License Agreements do not allow for the use of the Content for artificial intelligence (AI) or machine learning (ML) training, development, or integration. If you wish to utilize our Content, sound libraries/datasets for AI-related purposes, such as training AI models or embedding our content into generative AI systems, a special AI Usage License is required.

3. LIMITATION OF RESPONSIBILITY

3.1 Indemnity – You will indemnify, hold harmless, and defend ESM, its employees, agents, and distributors against any and all claims, proceedings, demands, and costs resulting from or in any way connected with your use of the Content provided by ESM.
In no event (including, without limitation, in the event of negligence) will ESM, its employees, agents, or distributors be liable for any consequential, incidental, indirect, special, or punitive damages whatsoever (including, without limitation, damages for loss of profits, loss of use, business interruption, loss of information or data, or pecuniary loss), in connection with or arising out of or related to this EULA, the Content or the use or inability to use the Content or the furnishing, performance, or use of any other matters hereunder whether based upon contract, tort, or any other theory including negligence. You bear sole responsibility and liability for any loss incurred due to failure of the Content to meet your requirements.
ESM cannot be held responsible for any direct, indirect, or consequential loss arising from the use of any Content licensed from ESM in whatever form, and including consequential loss arising from a delayed or lost shipment.

3.2 Warranties – Except as expressly stated in writing, ESM makes no representations or warranties in respect of the Content and expressly excludes all other warranties, expressed or implied, oral or written, including, without limitation, any implied warranties of merchantable quality or fitness for a particular purpose. ESM will not be responsible if the Content does not fit your particular purpose. The Content is licensed to You “as is” without warranties of any kind.

3.3 Governing Law – This Agreement shall be governed by the laws of the United States applicable therein. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of the United States therefrom. If any provision shall be considered unlawful, void, or otherwise unenforceable, then that provision shall be deemed severable from this License and not affect the validity and enforceability of any other provisions.

3.4 Termination – Any failure to comply with the terms and conditions of this EULA will result in automatic and immediate termination of this license. Upon termination of this license granted herein for any reason, you agree to immediately cease use of the Content supplied under this EULA and destroy all copies You have produced.

3.5 Copyright Restriction & Intellectual Property Rights – The Content contains copyrighted material and other proprietary material. ESM’s name, logo, and graphics files, names, and descriptions that represent the Content are the property of ESM. ESM retains sole and exclusive ownership of all rights, titles, and interests in and to the Content and all Intellectual Property rights relating thereto. You may not claim ownership or authorship of the Content.
Copyright law and international copyright treaty provisions protect all parts of the Content products and services. No program, code, part, image, audio sample, or text may be copied or used in any way by the user except as intended within the bounds of this EULA.

What am I allowed to do with my sound effects license?

You’re allowed to create an unlimited number of synchronized productions, meaning you may mix sound effects with other elements (e.g. video, other sonic). It must be used in “Sync” with other forms of media. You can also edit, layer, process, warp, and twist sounds to oblivion.
Our standard license covers usage for one (1) User – if you have multiple people at your company or organization who will be working with the sound effects library, you must obtain a multi-user license.

What can’t I do with my sound effects libraries?
You cannot re-sell sound effects in any way. Sounds must be used in sync with other forms of media specified above.
If you would like to include sound effects in a mobile or web app where your end users can control playback of the sound (e.g. soundboard, nature app, ringtones, etc.), you will need to obtain a Custom Application License (CAL).
